Terms of Service

1. The service
The L-SPARK Benefits Finder (the “Service”) is a conversational tool that helps Canadian small businesses identify federal and provincial funding programs that may fit their business profile. The Service is provided by L-SPARK Corporation (“L-SPARK”, “we”).
2. Alpha-stage service — "as is"
The Service is currently in alpha. It is provided “as is” and “as available” without warranty of any kind, express or implied, including without limitation warranties of merchantability, fitness for a particular purpose, accuracy, completeness, non-infringement, or uninterrupted availability.
We may modify, suspend, or discontinue the Service at any time without notice. We may also change the program corpus, eligibility logic, or response behaviour based on feedback or operational needs.
3. No warranty on funding-fit recommendations
The program recommendations the Service produces are informational only. They do not constitute legal, financial, tax, or grant-writing advice. Eligibility for any government funding program is determined by the program administrator, not by L-SPARK. We make no representation that a recommended program will accept your application, that the listed eligibility text is the most current version, or that our match is exhaustive.
Before applying to any program, you should verify eligibility directly with the program administrator and consult a qualified professional advisor where appropriate. L-SPARK is not liable for any losses, missed deadlines, or rejected applications resulting from your use of the Service.
4. Acceptable use
You agree NOT to:
- Use the Service to send automated, scripted, or programmatic traffic without prior written authorization from L-SPARK.
- Probe, attack, or attempt to bypass the Service's rate limits, authentication, or other security mechanisms.
- Extract, scrape, mirror, or re-distribute the program corpus or any other Service data.
- Use the Service to submit content that is unlawful, defamatory, or violates the privacy or intellectual property rights of any third party.
- Misrepresent your identity or affiliation in a way intended to mislead L-SPARK or other users.
- Use the Service for any purpose other than identifying funding programs for a legitimate Canadian small business.
We may rate-limit, suspend, or permanently block access for any account or IP address we determine, at our sole discretion, to be in violation of these terms.
5. Your content and license
You retain all rights in the business description and other information you provide to the Service. By using the Service, you grant L-SPARK a non-exclusive, royalty-free licence to process your inputs for the purposes described in the Privacy Policy (matching against the program corpus, improving the model, debugging, etc.).
You may freely use the recommendations and explanatory text the Service produces in response to your queries. You may not, however, claim that L-SPARK has endorsed, approved, or verified any specific funding application, business plan, or commercial decision you make based on Service output.
6. Intellectual property
The Service interface, brand marks, copy, and curated program corpus are the property of L-SPARK Corporation. The underlying funding-program information is sourced from publicly-available Government of Canada and provincial datasets under the Open Government Licence — Canada (OGL-Canada).
7. Limitation of liability
To the maximum extent permitted by applicable law, L-SPARK's aggregate liability for any claim arising out of or related to the Service is limited to the greater of (a) the amount you paid us for the Service in the 12 months preceding the claim, or (b) one hundred Canadian dollars (CAD $100). Because the Service is currently free during the alpha, this cap will typically be CAD $100.
In no event will L-SPARK be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, or business interruption.
8. Governing law
These terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any dispute arising under these terms is subject to the exclusive jurisdiction of the courts of Ontario.
9. Changes
We may update these terms from time to time. Material changes will be communicated via a notice on the homepage at least 30 days before they take effect. The current version is always available at https://lsparkbenefitsfinder.ca/terms.
